In late August 2020, the U.S. Securities and Exchange Commission adopted amendments to Regulation S-K to modernize and update the requirements for business description, legal proceedings and risk factor disclosures. The SEC's final rule release for these amendments is available here. As amended, these disclosure requirements will be more principles-based and offer registrants additional flexibility in an effort to reduce duplicative or immaterial disclosures. These amendments will become effective on November 9, 2020.
