APAC Fundamentals of Financial Markets

The training program comprises a series of one-hour sessions covering a wide range of topics – including general lending, leveraged and acquisition finance, digital technology, securities lending, capital markets, asset and project finance, and restructuring and insolvency. These sessions will be conducted by senior members of the Clifford Chance Global Financial Markets team who are specialists in these products.

Introduction to Equity Capital Markets Transactions (September 2023)

An overview of initial public offerings and other types of capital raisings. The session will focus on documentation, including offering documents, underwriting agreements, comfort letters and opinions. Roadshows, research reports and other types of publicity will also be covered, together with relevant U.S. securities law considerations.

Introduction to Debt Capital Markets Transactions (September 2023)

An overview of the main structures, documentation, parties and execution considerations in primary debt capital markets offerings. This session will cover proprietary interests in debt capital markets transactions and briefly touch upon relevant securities laws in the region, including the United States.

Exploring the E in ESG: How Financing Products are being used to Promote Environmental Goals (September 2023)

A discussion about recent matters and current trends in areas such as green loans, sustainable bonds, energy transition, renewables and carbon trading. The objective of the session is to help participants understand how the financial markets can be deployed to advance ESG goals.

Introduction to Derivatives and Structured Finance (September 2023)

An overview of derivatives and structured finance products, including an introduction to common transaction structures, such as repackaging, structured notes, securitisation, loan distribution, corporate equity derivatives and equity financing, hedging and the related structural, commercial and legal issues.

Introduction to Asset Finance (September 2023)

This session will provide an introduction to different types of asset leasing arrangements and risk allocation.

Introduction to Project Finance (September 2023)

This session will cover the principal parties, types of lenders, financing structures and senior finance documentation of a project finance transaction.

Secured Lending (September 2023)

A discussion of the basic questions of what is security; why to take security and how to enforce it; and the main sources of attack on the effectiveness of security. The practical issues of registration and perfection requirements will also be addressed.

Raising Finance, Term Sheets and Loan Facilities (September 2023)

A discussion of the basic principles of raising corporate finance and an overview of debt and equity instruments including the legal status of a term sheet, key provisions and drafting dos/don'ts.

Introduction to Restructuring and Insolvency (September 2023)

This session will look at the reasons for restructuring from the creditor's and debtor's perspectives, when restructuring should happen and the methods by which it can take place.

Loan Mechanics: Structure of a Loan Transaction (September 2023)

This session looks at how syndicated loan transactions are structured, the underlying principles of syndicated lending and how they dictate the key provisions in a syndicated loan agreement. Structuring issues such as intercreditor issues, debt servicing and the guarantee and security package will also be covered.

Loan Mechanics: Introduction to Loan Agreements (September 2023)

Following on from the previous session, this session will look at the structure of a standard facility agreement and some of the key provisions, including conceptual/structural changes required to move from a LIBOR facility to a RFR facility.

Financial Regulation (September 2023)

This session will provide an overview of regulatory issues relevant to financial institutions and financial services in Singapore.

Introduction to Common PRC Law Issues for Cross-Border Loan Transactions (March 2023)

This session covered the main PRC legal issues facing PRC obligors/business.

U.S. Securities (March 2023)

An overview of the principal provisions of U.S. securities laws that impact international transactions, with an emphasis on private placements and other offerings exempt from SEC registration.
